Event Booking Terms and Conditions

1. Introduction       

1.1 These Booking Terms shall govern and form the contract (the “Contract”) for any online or other booking(s) made by you in relation to any conference, event or training course (“Event”) organised by UK Theatre Association, company number 323204 and VAT number 242 2801 94 (“UK Theatre”, “our”, “we” or “us”) (collectively “Bookings”). By clicking on the ‘I Accept’ button at the bottom of these Booking Terms you agree to be legally bound by these Booking Terms (as they may be modified and posted on our website from time to time). 

1.2 These Booking Terms together with UK Theatre’s Terms of Use, Privacy Policy, Cookies Usage Policy and payment method instructions, if any, are the whole Contract between you and UK Theatre and prevail over and supersede any other terms or conditions contained or referred to elsewhere (whether in correspondence, brochures or catalogues or otherwise) or implied by trade, custom, practice or course of dealing unless specifically agreed to in writing by an authorised representative of UK Theatre. Any purported provisions to the contrary are hereby excluded or extinguished. You acknowledge that you have not entered into this Contract in reliance upon any statement, warranty or representation made by UK Theatre or any other person and you irrevocably and unconditionally waive any rights to claim damages and/or to rescind these Booking Terms by reason of any misrepresentation (other than a fraudulent misrepresentation) that is not contained in the Booking Terms, Terms of Use, Privacy Policy, Cookies Policy and payment method instructions. 

1.3 Please note that you must be aged 18 or over to make a Booking and enter into a Contract with us and you must be resident in the UK or Republic of Ireland. We reserve the right to seek confirmation of age if we consider it necessary and you agree to provide such proof of identity and age as we consider reasonably necessary from time to time. 

1.4 Event information is correct at the time of going to press but is subject to change.  For the latest information, please visit the relevant page via our Training and Events page at www.uktheatre.org/events.

2. Making a Booking 

2.1 To make a Booking you will need to follow the booking procedures set out on our website which may involve completing a Booking registration form. Details of the price payable in respect of a Booking and the procedures for payment are displayed on our website. Bookings may be subject to a booking fee charge and/or a non-refundable handling charge. 

2.2 We are entitled to refuse or cancel any Booking made by you for any reason at our entire discretion. Please note that places on all Events are allocated on a first come, first served basis.

2.3 If your Booking is accepted, we will confirm acceptance to you by online electronic means (“Confirmation”) to the email address you have given us on the Booking registration form. The Booking will then be confirmed by the date set out in the Confirmation or, if the Confirmation does not contain such a date, within seven (7) days. It is your responsibility to check your Confirmation and to inform us of any errors. 

2.4 In respect of some Bookings for ticketed Events, in addition to sending you a Confirmation, we may also dispatch your tickets to you by post. We aim to dispatch such tickets to you in respect of your Booking as soon as possible although we are not able to be specific with exact dates of dispatch. Any times or dates stated on our website for delivery of tickets are estimates only therefore please book your place early enough to allow as much time as possible for your tickets to arrive. If your tickets have not arrived two (2) days before the Event or before you leave to travel to the Event, please contact us, and quote your name, address and reference number of the Booking. We will post tickets to the address that you supply to us when making the Booking unless you specifically request us to send the tickets to a different address. 

2.5 In respect of some Bookings for certain training course Events, in addition to sending you a Confirmation, we may also dispatch a delegate pack to you by post. We aim to dispatch such delegate pack to you in respect of your Booking as soon as possible although we are not able to be specific with exact dates of dispatch. Any times or dates stated on our website for delivery of delegate packs are estimates only therefore please book your place early enough to allow as much time as possible for your delegate pack to arrive. If your delegate pack has not arrived two (2) days before the Event or before you leave to travel to the Event, please contact us, and quote your name, address and reference number of the Booking. We will post the delegate packs to the address that you supply to us when making the Booking, unless you specifically request us to send the delegate packs to a different address. 

2.6 Unless an alternative method of payment is agreed by UK Theatre, for example that UK Theatre (upon request by you) agrees to send you (or your organisation) an invoice for the price of the Booking, you must pay the Event price in full by credit or debit card at the time of making the Booking. The price in respect of a particular Event is the price in force at the date and time of making your Booking and may vary depending on whether you are a UK Theatre member or not and how many UK Theatre member delegates are attending the Event from your organisation. We may change the price of the Booking at any time before you make a Booking in respect of that Event. We try to ensure that our prices displayed on our website are accurate. The price in respect of each Event is exclusive of postage and applicable taxes. 

2.7 You undertake that all details you provide to us for the purpose of making the Booking will be correct, that the credit or debit card, or any electronic cash, which you use is your own and that there are sufficient funds or credit facilities to cover the cost of making the Booking. We reserve the right to obtain validation of your credit or debit card details before providing you with the Confirmation. 

2.8 When making a Booking via the UK Theatre website, you may be limited to booking a maximum number of places for each Event. This amount is included on the first purchase page and is verified with every transaction. 

2.9 You represent and warrant that the Booking is made for personal use only, and that any Booking made by you will not be resold or offered for resale by you or anyone else whether at a premium or otherwise. Resale or attempted resale of any Booking made by you, or any other breach of these Booking Terms shall entitle UK Theatre to cancel the Booking without refund or other compensation. 

3. Cancellation of an Event 

Cancellation by UK Theatre

3.1 Whilst we will make every effort possible to run all Events, we reserve the right to cancel, postpone or relocate an Event at our entire discretion.  We also reserve the right to refuse or cancel your individual attendance at an Event.

3.2 In the event of the cancellation, postponement or relocation of an Event or a Booking by us, we will notify you of such cancellation, postponement or relocation via the telephone number, email address and/or postal address provided to us during the Booking process and will inform you of the date, time and location of any rearranged Event (if applicable) and/or how to claim a refund (if you are eligible). 

3.3 Unless indicated otherwise by us, if an Event is cancelled, postponed or relocated, you will be offered (subject to availability) to attend a rescheduled Event, the same Event at an alternative location or another Event up to the face value of the Booking price or, if you are unable to attend any of the former, a refund. UK Theatre will not be liable for any loss, claim, damage, or any incidental or consequential damages of any kind, whether based in contract, tort or otherwise, which arises out of or is in any way connected with an Event or Booking cancellation, postponement, relocation or other change. Without limiting the previous provision, travel expenses will not be reimbursed by UK Theatre. 

3.4 Subject to clauses 3.1, 3.2 and 3.3 above, in respect of Bookings made prior to the date of the Event, you shall be entitled to a refund up to the face value of the Booking price plus the relevant booking fee. If an Event takes place over several days and only part of the Event is cancelled or postponed, you will be entitled to a partial refund only corresponding to the day(s) cancelled or postponed. In order to claim your refund, please apply in writing to 32 Rose Street, London WC2E 9ET within fourteen (14) days from the date of cancellation or postponement of the Event enclosing your Confirmation, tickets (if applicable) and delegate pack (if applicable). 

Cancellation by you

3.5 Cancellation by you will only be valid if communicated to UK Theatre in writing by email to events@soltukt.co.uk

3.6 Subject to the provisions of paragraph 3.7 below, if agreed in advance in writing by UK Theatre, you shall be entitled to transfer your Booking to another individual if they are eligible to receive the same rate as you.  Your written notice of such proposed transfer must include the name of the individual and the organisation to which they belong (if any). For the avoidance of doubt, the transferee shall be subject to these Booking Terms. We cannot guarantee that the transferee’s details will be included in any Event literature (e.g. delegate list in the delegate pack). 

3.7 Please note that, where you cancel an Event, different cancellation policies apply as specified below depending upon the Event you wish to cancel:

Events: 

 

A. Half and one day courses, seminars and workshops    

    

B. Conferences, UK Theatre AGM, Annual Review and Lunch and UK Theatre Awards

    

C. IOSH Managing Safely

  

D. Essentials of Marketing and Effective Management in the Arts residential courses

     

A. Cancellation policy for half and one day courses, seminars and workshops only: 

• Where ten working days’ notice or more is given before the Event start date, a full refund will be offered.

• Where less than ten working days’ notice is provided before the Event start date, full fees will be due to UK Theatre and will be held on credit for use towards a future Event. No refund will be issued. 

• When funds are agreed by UK Theatre to be held on credit, they will be available to use for one year starting from the date of cancellation and after such period any credit will cease to be available to you. To use held funds, this must be mentioned at the time of booking and cannot be added after the booking has been made.

B. Cancellation policy for: 

- Conferences

- UK Theatre AGM, Annual Review and Lunch 

- UK Theatre Awards 

• Where five working days’ notice or more is given before the Event start date, a full refund will be offered.

• No credit/transfer or refund will be given should you cancel and give less than 5 working days’ notice before the Event start date and full fees will still be due. 

C. Cancellation policy for IOSH Managing Safely only:

• Where ten working days’ notice or more is given before the Event start date, a full refund will be offered.

• Where less than ten working days’ notice is provided before the Event start date, full fees will be due and will be held on credit which can only be used towards a future booking onto a IOSH Managing Safely course. No refund will be issued. 

• When funds are agreed by UK Theatre to be held on credit, they will be available to use for one year starting from the date of cancellation and after such period any credit will cease to be available to you. To use held funds, this must be mentioned at the time of booking and cannot be added after the booking has been made. 

D. Cancellation policy for: 

- Effective Management in the Arts 

- Essentials of Marketing

• It is a condition of entry to the course that you confirm that you are able to attend for the full duration of the course. 

• Where 21 working days’ notice or more is given before the Event start date, a full refund will be offered. 

• Where between ten working days’ notice and 20 working days’ notice is given before the Event start date, a refund of 50% of the full fees will be offered. 

• Where less than ten working days is provided before the Event start date, full fees will be due from you to UK Theatre. No refund will be issued and we cannot hold this money on credit. 

• Registrations may be transferred to another colleagues name for Effective Management in the Arts up to 5 working days before the Event. 

• Bookings cannot be transferred to another name for Essentials of Marketing due to the application process.

4. Intellectual Property 

4.1 All Intellectual Property Rights in and to an Event and any and all materials and information produced, created or distributed by us (or our contractors or agents) in connection with and in conjunction with an Event (including, without limitation, any and all delegate packs) (“UK Theatre Material”) shall vest and shall remain vested in us (or our contractors or agents as the case may be). 

4.2 Nothing in these Booking Terms shall be construed as assigning or granting to you or any third party any right, title or interest in or to UK Theatre Material or any Intellectual Property Rights owned by us (or our contractors or agents). 

4.3 You may only use the UK Theatre Material made available to you subject to the following conditions: 

(a) the UK Theatre Material may only be used for your personal and non-commercial purposes, save that you are permitted to the extent necessary to share such UK Theatre Material with your work colleagues for the purposes of training; 

(b) the UK Theatre Material shall not be reproduced or included in any other work or publication in any medium; 

(c) the UK Theatre Material may not be modified or altered in any way; 

(d) the UK Theatre Material may not be distributed or sold to any third party; and 

(e) you may not remove any copyright or other proprietary notices contained in the UK Theatre Material. 

4.4 For the avoidance of doubt, these Booking Terms are not intended to prevent you recording in manual form any individual item of information for your own personal non-commercial purposes and sharing the materials and training know how with your colleagues. 

4.5 For the purposes of these Booking Terms, “Intellectual Property Rights” means copyright (including such rights in computer software and databases), database rights and moral rights, patents, registered and unregistered trade marks and service marks, domain names, registered designs and design rights (in each case for the full period thereof and extensions, revivals and renewals thereof), any applications for the foregoing and the right to apply for any of the foregoing anywhere in the world, and all similar rights anywhere in the world including those subsisting in inventions, designs, drawings and computer programs. 

5. Disclaimer 

5.1 We will exercise all reasonable skill and care in providing the UK Theatre Material. While we endeavour to ensure that the UK Theatre Material is correct, we do not warrant the accuracy, currency, reliability and completeness of such material. The UK Theatre Material is not intended to amount to advice and you should not rely on it without seeking independent advice for your circumstances. We may make changes to the UK Theatre Material at any time without notice. 

5.2 The UK Theatre Material is provided to you on an "as is" basis without warranty of any kind, either express or implied (whether by common law, custom, statute or otherwise) and all other conditions, statements and warranties (including, but not limited to, any implied warranty of the fitness for a particular purpose of the UK Theatre Material or that your use of the UK Theatre Material will not infringe the rights of any third party) are hereby excluded to the fullest amount permissible by law. Without limiting the foregoing, we make no warranty that the Event or the UK Theatre Material will meet your requirements. It is your responsibility to ensure that the Event is suitable for your requirements. Therefore, we advise you to check the UK Theatre Material provided to you as any reliance that you place on the accuracy, completeness, currency or reliability of that information is at your own risk. 

6. General 

6.1 The Booking may be subject to Event rules and regulations and/or rules and regulations of the venue in which the Event takes place (the “Venue”) (details of any such rules and regulations can be provided upon request). Breach of any of these rules and regulations or any behaviour that is in our view unacceptable or likely to cause damage, nuisance or injury shall entitle us or the Venue to refuse to admit you into the Event and Venue or to eject you from the Venue and the Event as the case may be. We or the Venue may on occasions have to conduct security searches to ensure the safety of the delegates at the Event. 

6.2 Any Booking made by you is subject to our or the Venue’s right to alter or vary the Event due to events or circumstances beyond our reasonable control without being obliged to refund monies or exchange tickets. 

6.3 The use of photographic and recording equipment of any kind at the Event is prohibited and we shall be entitled to destroy any tapes or films or any other recordings of any kind made during or in connection with the Event. 

6.4 You hereby give your consent for us or any third party appointed by us to photograph, film and/or sound record your attendance at the Event. You further consent to our using any such images or sound recordings of you for marketing and promotional purposes in any medium in perpetuity without payment to you.   You confirm that we may use your full name or other details which identify you together with images of you in marketing material (in whatever format) such that your name and identity is readily identifiable to third parties. You do not object to our storing copies of such images or your contact data or transferring the same to a destination outside the European Economic Area.

6.5 We hereby exclude all other express or implied terms, conditions, warranties, representations or endorsements whatsoever with regard to any Booking or Event, our website or any information or service provided through by us through our website to the fullest extent permitted by law. 

6.6 We will do our best to ensure that all materials and information published on our website about an Event are accurate, but please note that all content, materials and information on our website about Events are provided on an ‘as is’ basis. 

6.7 We shall have no liability to you or any of your party (other than liability for death or personal injury arising from our negligence or for fraud) for any loss or damage of any nature arising from any breach of any express or implied warranty or condition of the contract or any negligence, breach of statutory or other duty on our part or in any other way out arising out of or in connection with the Booking, the Event, the UK Theatre Material or the performance or purported performance of or failure to perform this Contract except in accordance with these Booking Terms. We shall not, in any event, be liable for: 

(a) any loss of profits, goodwill, or contract; 

(b) any indirect or consequential loss or damage; or 

(c) any loss or damage in excess of the face value of the Booking price per Event plus the relevant booking and/or charging fees. 

6.8 We may alter these Booking Terms from time to time and post the new version on our website, following which all bookings will be governed by that version. It is your responsibility to check the Booking Terms on the website regularly. 

6.9 All notices shall be given: 

(a) to us via email at enquiries@soltukt.co.uk or by post at 32 Rose Street, London WC2E 9ET; or 

(b) to you at either the email or postal address you provide on the Booking Registration Form; 

and a notice will be deemed received when an email is received in full (or else on the next business day if it is received on a weekend or a public holiday in the place of receipt) or three (3) days after the date of posting. 

6.10 If any provision or term of these Booking Terms shall become or be declared illegal, invalid or unenforceable for any reason whatsoever, such term or provision shall be divisible from the other terms and conditions and shall be deemed to be deleted from them. 

6.11 We shall be entitled to assign or sub-contract any of our rights, benefits and interests in or under this Contract to any third parties. 

6.12 No waiver by us of any breach of these Booking Terms by you shall be considered to be a waiver of any subsequent breach of the same or any other term of the Contract. 

6.13 These Booking Terms are governed by English law and you and we submit to the exclusive jurisdiction of the English courts in respect of any dispute arising out of these Booking Terms.
